1. About these Terms

Welcome to Skydive Buy & Sell (the "Site"), an online classifieds service built on one idea: skydivers helping skydivers be safer. Skydivers, and the businesses that support them, list, find, and discuss skydiving gear here. The Site is operated by CloudCircuit LLC, a limited liability company organized in Wisconsin ("we," "us," "our"). By creating an account, using the Site, or clicking "I agree," you agree to these Terms of Use, our Privacy Policy, our Cookie and Storage Notice, and our Safety Notice and Disclaimers (together, the "Terms"). If you do not agree, do not use the Site.

2. Who can use the Site

• You must be at least 18 years old and able to form a binding contract.
• You must give accurate account information and keep your password secure. You are responsible for all activity on your account.
• You must complete the Community Pledge when you create your account and keep to it.
• One person, one account. We may refuse, suspend, or remove any account at our discretion.

3. What the Site is, and is not

• The Site is only a venue that helps users find and contact each other. We are not a party to any sale or agreement between users.
• We are an independent website. We are not affiliated with, endorsed by, or sponsored by USPA, the FAA or any other authority, any manufacturer, supplier, or dropzone, or any other organization.
• We do not own, inspect, test, certify, repair, pack, store, ship, or sell any gear listed by users. We do not handle payments between buyers and sellers.
• We do not guarantee that any listing, description, photo, offer, review, report, or user is accurate, safe, lawful, or trustworthy.
• A "verified" badge (for example, verified rigger or verified supplier) only means an administrator assigned the badge based on information provided to us. It is not a guarantee, endorsement, certification, or inspection of anyone or anything. A verified supplier badge also does not mean the supplier is an authorized dealer of, or affiliated with, any manufacturer or with us.
• Moderators may review content, but we are not required to review, monitor, or remove content, and we are not responsible for content we do not remove.
• Any market value information on the Site is an estimate for general information only. It is not an appraisal, an offer, or a guarantee of value or safety, and you should not rely on it to decide whether gear is safe to use.
• Gear alerts are a convenience. We do not promise that every matching listing will be emailed, or that every email will arrive.

4. Your content

• You keep ownership of what you post (listings, photos, messages, offers, reviews, reports, comments, profile bios), called "User Content."
• You give us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, display, reproduce, modify (for example resize, crop, and watermark), and distribute your User Content in connection with operating, moderating, promoting, and improving the Site. This license continues after you delete content to the extent copies remain in backups, completed-deal records, moderation or safety records, or where we must keep them.
• You promise that you have the right to post your content, including photos; that listing details are accurate and not misleading; and that your content does not break any law or anyone's rights.
• Photos you upload are watermarked with the Site's name. Do not remove or hide watermarks, and do not reuse other users' photos or text without their permission.
• Brand names and logos belong to their owners. Listing a brand does not mean that brand endorses the Site or the listing.

5. Rules

You agree not to:

• Break any law or regulation that applies to you or to the item, including local, area, state, national, and international laws and the rules of aviation and other authorities such as the FAA or your local air authority.
• Ignore the basic safety regulations or recommendations of recognized safety organizations such as USPA, or the instructions and service bulletins of gear manufacturers.
• List stolen, counterfeit, or illegally obtained items, or items you do not have the right to sell.
• Misstate a listing's condition, age, date of manufacture, repack or service history, jump or deployment history, or damage. If gear is damaged, out of date, past its service life, recalled, or subject to a safety bulletin, you must say so clearly in the listing.
• List gear you know to be unsafe to use without clearly labeling it (for example, "for parts or display only, not airworthy").
• Use the Site to scam, defraud, harass, threaten, or discriminate against anyone, to send spam, or to pressure people into deceptive payment arrangements.
• Post fake reviews, fake vouches, fake offers, or false reports, trade vouches, or manipulate ratings, view counts, flags, or reputation.
• Claim a certification, license, rating, or affiliation you do not hold (including USPA, FAA, rigger, or manufacturer status), or impersonate any person or business.
• Collect or scrape data from the Site, test or probe its security, or interfere with how it works.
• Share another person's private information, including contact details, without their permission.
• Use the Site for anything unlawful.

6. Dealing with other users

• Buyers and sellers deal directly with each other, at their own risk. You alone decide whether to buy, sell, or share information, and you are responsible for verifying the other person, the gear, its condition, its paperwork, and who owns it.
• We strongly recommend having any used gear inspected by a certified rigger before use, and meeting in safe, public places.
• Offers, accepting an offer, and marking a listing "sale pending" or "sold" are tools to help users communicate. They are not a contract with us, and we do not enforce deals between users.
• When a buyer confirms a purchase, or a buyer or a seller tells us what was paid, the Site may record anonymous details about it. Sharing this is always optional, and the Site is a place for people to connect, not a party to any sale. If the buyer and seller each report, we keep both reports, such as the item type, brand, model, size, condition, age, listed price, final price, how long it took to sell, and how much interest the listing received. These records do not include names or contact details. We may use them to create market value guides and other statistics, and we may keep them after accounts are closed.
• Payment, shipping, taxes, and returns are between the buyer and seller. We are not responsible for them.

7. Featured listings and fees

Some features, such as featured listings, may cost money. Any fee is shown before you pay and is processed by a third-party payment provider. Fees are generally non-refundable except where the law requires or where we say otherwise at purchase. We may change prices and features going forward.

8. Monitoring, moderation, and our access to information

You understand and agree that:

• We, our administrators, and our moderators may collect, access, monitor, review, record, keep, and use information and content on or about the Site, including your account details, listings, photos, offers, messages and conversations, contact information, reviews, reports, comments, activity, and technical data (such as IP address and device information).
• This includes private messages and conversations between users. Administrators may review conversations at any time. Moderators may review conversations that are reported or that are otherwise relevant to safety, fraud, or rule enforcement.
• We may do this to operate, secure, and improve the Site and its features; to moderate content and users; to investigate and prevent fraud, abuse, safety problems, and violations of these Terms; to resolve disputes; to respond to legal requests; to enforce our rights; and for other legitimate business purposes described in our Privacy Policy.
• Messages on the Site are not confidential from us. Do not share anything on the Site that you are not comfortable with us seeing.
• We may keep records of reports, flags, warnings, moderation decisions, and completed deals, including after an account is closed, for the limited time described in our Privacy Policy.

9. Reports, flags, and reputation

• Any signed-in user may report another user. Reports are saved and reviewed by moderators. A moderator may approve a report (it then shows on the person's profile as a yellow or red flag along with the report's comment), reject it (it is kept privately), or take other action. These decisions are made at our discretion. They are not findings of fact or legal determinations.
• Reviews, vouches, and flags are opinions of users or moderators, not statements of fact by us. Vouches are shown with the name of the member who gave them.
• A verified badge is assigned by an administrator after a check. Trusted status is given by our staff for a member's record and conduct: a trusted member's listings can go live without review, and trusted members and verified riggers can take down listings that look unsafe. Moderators can review and reverse any takedown. We may add or remove any badge or status at any time, and none of them is a guarantee of anything.
• Community holds. If several trusted members or verified riggers report the same account as a possible scam within a short time, the Site may automatically put that account on hold. While an account is on hold, its listings are hidden and it cannot list, message, make offers, comment, review, or vouch until a moderator releases the hold or takes other action. A hold is a temporary safety measure, not a finding that anyone did anything wrong.
• USPA card checks. A member who vouches for you may state that they saw your current USPA membership card. That is the member's own statement. We do not check USPA membership, we have no access to USPA records, and we are not affiliated with USPA.
• If you believe a moderation decision about you was wrong, email support@skydivebuyandsell.com and we will take a second look.
• We may remove any content, listing, review, or report at any time, for any reason.

10. Suspension and termination

We may warn, restrict, suspend, or permanently ban any user, and remove any content, at any time and at our discretion, with or without notice, including for suspected violations, safety concerns, or abuse of the Site. You may stop using the Site at any time, and you can delete your own account from your profile page (see the Privacy Policy for what we keep afterward). Sections that by their nature should continue after termination will continue.

11. Disclaimers

THE SITE AND EVERYTHING ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY, TO THE FULLEST EXTENT THE LAW ALLOWS. WE DO NOT WARRANT THAT ANY GEAR, LISTING, USER, OR CONTENT IS SAFE, AIRWORTHY, LEGAL, AUTHENTIC, OR AS DESCRIBED. See also our Safety Notice and Disclaimers.

12. Assumption of risk

Skydiving and the use of skydiving equipment are inherently dangerous and can cause serious injury or death, including from equipment that looks to be in good condition. You choose to buy, sell, use, and rely on any gear at your own risk. You are responsible for getting qualified inspection and for following manufacturer instructions, applicable rules and laws, and USPA or other applicable safety guidance.

13. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS, CloudCircuit LLC AND ITS OWNERS, OFFICERS, MODERATORS, VOLUNTEERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PROPERTY, OR FOR ANY INJURY OR DEATH, ARISING OUT OF OR RELATED TO THE SITE, USER CONTENT, ANY DEAL OR INTERACTION BETWEEN USERS, OR ANY GEAR LISTED, BOUGHT, SOLD, OR USED, EVEN IF WE WERE TOLD IT COULD HAPPEN. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED THE GREATER OF (A) WHAT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100. Some places do not allow certain limits, so parts of this may not apply to you.

14. Indemnity

You agree to defend, indemnify, and hold harmless CloudCircuit LLC and its owners, officers, moderators, volunteers, and service providers from claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Site, your deals with other users, any gear you sell or use, or your breach of these Terms or the law.

15. Copyright complaints

If you believe content on the Site infringes your copyright, email support@skydivebuyandsell.com with: your contact information; a description of the work and where it appears on the Site; a statement that you believe in good faith that the use is not authorized; and a statement, under penalty of perjury, that your information is accurate and that you own or are authorized to act for the owner. We may remove content and may end the accounts of repeat infringers.

16. Changes to the Site or these Terms

We may change the Site or these Terms at any time. When we make material changes, we will update the "Last updated" date and may notify you on the Site or ask you to accept the new Terms. Continuing to use the Site after changes means you accept them.

17. Governing law and disputes

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to conflict-of-law rules. Before filing a claim, you agree to try to resolve the dispute informally by emailing support@skydivebuyandsell.com. Any dispute not resolved informally must be brought in the state or federal courts located in Wisconsin, and you consent to those courts' jurisdiction, except where the law requires otherwise.

18. General

These Terms are the entire agreement between you and us about the Site. If any part is found unenforceable, the rest stays in effect. If we do not enforce a part, that is not a waiver. You may not transfer your rights under these Terms; we may transfer ours. Nothing here creates a partnership, employment, or agency relationship.

19. Independence and links to other websites

Skydive Buy & Sell is an independent website. We are not affiliated with, endorsed by, or sponsored by USPA, the FAA or any other authority, any manufacturer, supplier, or dropzone, or any other organization, and nothing on the Site means otherwise. Names, logos, and trademarks belong to their owners and appear only to describe what is listed or to point you to useful information.

We point people to other websites, such as USPA, manufacturers, and suppliers, in good faith, because we think they can help. We do not control those websites, and a link is not an endorsement, a partnership, or a guarantee of anything on them. Those websites have their own terms and policies. Please read them, and make your own decisions.

20. Laws, regulations, and safety standards

You must follow all laws and regulations that apply to you, to your listing, and to any purchase, sale, or use of gear, in every place that applies: local, area, state, national, and international law, and the rules of aviation and other authorities, such as the FAA in the United States or your local air authority. You are responsible for knowing what applies to you, including rules about equipment inspection, packing, and maintenance, and about shipping, export, import, and taxes.

You also agree to follow the basic safety regulations and recommendations of commonly recognized safety organizations, such as the United States Parachute Association (USPA), and the instructions and service bulletins of gear manufacturers.

We may remove content or accounts, and report suspected unlawful activity to the proper authorities, at our discretion.

21. Community Pledge

The Community Pledge is a personal commitment that supports these Terms and our Privacy Policy. It does not replace or change them, and if anything in the pledge seems to conflict with these Terms, these Terms control. When you create an account, you confirm the pledge and agree to follow it, and you take personal responsibility and accountability for your words, actions, and transactions on the Site. Breaking the pledge is a violation of these Terms.
